1. Acceptance of Terms

By accessing and using Stamply.in ("Service", "Platform", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use our Service.

Stamply.in is operated by SILYA PRIVATE LIMITED (CIN: U62099PN2026PTC254644), a company incorporated under the Companies Act, 2013, and registered in India.

2. Eligibility

The Service is not intended for individuals under 18 years of age. By using the Service, you represent that you are at least 18 years old.

3. Description of Service

Stamply.in provides a digital loyalty card platform that enables businesses to create and manage customer loyalty programs through digital stamp collection and reward redemption systems.

This Service is intended exclusively for businesses and customers located in India. Users outside India access the Service at their own discretion and remain subject to Indian law as specified in Section 15.

The Service includes:

  • Business registration and management dashboard
  • Customer loyalty card creation and distribution
  • Digital stamp collection via QR code scanning
  • Reward creation and redemption tracking
  • Customer analytics and reporting

4. User Accounts

4.1 Business Accounts

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • We reserve the right to suspend or terminate accounts that violate these terms

4.2 Customer Accounts

  • Customers can register by scanning a business-specific QR code, uploading a QR code image, or clicking on a business link
  • Customers must provide accurate contact information
  • Customer data is stored securely on Stamply.in's database; businesses can view limited loyalty activity (stamps, rewards) but do not have direct access to or control over customer data
  • Customers can delete their own account and associated data directly from the platform at any time, or by emailing support@stamply.in

5. Business Responsibilities

As a business user, you agree to:

  • Operate a legitimate business and use the Service lawfully
  • Honor all rewards and promotions you create on the platform
  • Treat customer data with respect and in compliance with privacy laws
  • Not use the Service to spam, harass, or mislead customers
  • Ensure your loyalty program complies with local regulations
  • Respond to customer inquiries and reward requests in a timely manner
  • Not create multiple accounts to circumvent limitations
  • Before discontinuing your loyalty program or deleting your account, we recommend informing your customers through available means (such as in-store notices or social media) and allowing a reasonable period for outstanding rewards to be redeemed prior to closure

Businesses are solely responsible for their use of customer data and compliance with applicable laws, including India's Digital Personal Data Protection Act, 2023.

6. Prohibited Uses

You may not use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malicious code or viruses
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Scrape or harvest user data without permission
  • Impersonate another business or individual
  • Engage in fraudulent activities or money laundering
  • Sell, trade, or transfer stamps or rewards outside the platform

7. Payment and Refunds

Currently, Stamply.in is provided free of charge. If we introduce paid features in the future:

  • Pricing will be clearly communicated before purchase
  • Payments are processed through secure third-party providers
  • All purchases are non-refundable unless explicitly stated otherwise at the time of purchase
  • Users will be notified 30 days before any pricing changes

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Stamply.in and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of content you upload (logos, business information). By uploading content, you grant us a non-exclusive, non-sublicensable, worldwide license solely to use, display, and distribute it as necessary to provide the Service. This license terminates automatically upon account deletion.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices.

10. Service Availability

  • We strive to maintain 99.9% uptime but do not guarantee uninterrupted service
  • We may perform maintenance with or without notice
  • We are not liable for data loss; businesses should maintain their own records
  • We reserve the right to modify or discontinue the Service with 30 days notice

11. Disclaimer of Warranties and Limitation of Liability

To the maximum extent permitted by applicable law, the following disclaimers and limitations apply.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAMPLY.IN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you shall not exceed the following fixed amounts, based on your subscription plan at the time of the incident:

  • Free plan: ₹0 — As this plan is provided at no charge, Stamply.in accepts no financial liability for service failures, data unavailability, or platform downtime.
  • Standard plan (₹999/month): ₹2,000 (Indian Rupees Two Thousand)
  • Business plan (₹4,999/month): ₹10,000 (Indian Rupees Ten Thousand)

These are fixed compensation limits and do not constitute a refund of subscription fees.

Eligibility: A claim is only valid where ALL of the following conditions are met:

  1. The Service experienced continuous, verified downtime exceeding 4 cumulative hours within a single calendar month, measured exclusively during that business's active operating hours. A business's operating hours are determined solely by Stamply.in based on the timestamps of actual stamp and reward transactions recorded on the platform over the 14 days immediately preceding the incident. Hours during which no transaction activity was recorded in that 14-day period are not considered operating hours and downtime during those hours does not qualify.
  2. The business had a minimum of 50 active customers on the platform — defined as 50 or more unique customers having recorded at least one stamp or reward transaction within the 7 days immediately preceding the incident.
  3. The business provides documentary evidence of direct, quantifiable financial loss caused specifically and solely by the platform downtime. For the avoidance of doubt, the following do not constitute financial loss: inability to issue or collect stamps, missed reward redemptions, loss of goodwill, loss of anticipated future business, customer inconvenience, or any indirect or speculative loss of any kind.
  4. Downtime outside the business's active operating hours (as determined above), scheduled maintenance windows, third-party infrastructure failures (including Supabase or Vercel), and events covered by the Force Majeure clause (Section 20) do not qualify under any circumstance.

Incident reporting: You must report any service failure or downtime to Stamply.in by email at support@stamply.in within a reasonable time after becoming aware of the issue. Failure to report promptly may affect eligibility for claims.

The Service relies on third-party infrastructure providers including Supabase and Vercel. Stamply.in is not responsible for failures, outages, or data loss caused by such providers.

Settlement: Upon receipt of a valid written claim, Stamply.in will acknowledge it within 7 business days and resolve it within 30 days. If unresolved after 30 days, Section 14 (Dispute Resolution) applies.

Customers — Zero Liability: The loyalty card service is provided to end customers entirely free of charge. Accordingly, Stamply.in accepts no financial liability of any kind towards customers under any circumstances. This includes but is not limited to: loss of access to a loyalty card, loss of collected stamps, inability to redeem rewards, account deletion, platform downtime, or data loss. Customers may email support@stamply.in for assistance with platform access or technical issues. For reinstatement of lost stamps or rewards, customers must contact the relevant business directly, as reward decisions are at the business's sole discretion. No financial claim of any nature may be brought by a customer against Stamply.in.

12. Indemnification

You agree to indemnify and hold harmless Stamply.in and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your customer loyalty program and reward fulfillment

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • 12 consecutive months of inactivity (you will receive 30 days' email notice before any such termination)
  • At your request

Upon termination, your right to use the Service will cease immediately. We will provide you with 60 days from the date of the termination notice to export your data in CSV or JSON format.

14. Dispute Resolution

Any disputes arising from these Terms or the Service will be resolved through:

  1. Good faith negotiation between the parties
  2. If unresolved after 30 days, binding arbitration under the Arbitration and Conciliation Act, 1996 (India)
  3. The seat and venue of arbitration shall be Mumbai, Maharashtra, India
  4. Arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties, or appointed by the Mumbai Centre for International Arbitration (MCIA) in the absence of agreement
  5. Arbitration will be conducted in English
  6. Each party bears their own costs unless otherwise determined by the arbitrator

15. Changes to Terms

We reserve the right to modify these Terms at any time. The "Last Updated" date at the top of this page will always reflect the date of the most recent revision. We recommend reviewing these Terms periodically.

Continued use of the Service after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Subject to the arbitration clause above, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Stamply.in regarding the use of the Service.

21. Referral Programme

Stamply.in operates a voluntary Referral Programme that allows registered businesses and verified customers to invite new businesses to join the platform and earn a cash reward when those businesses upgrade to a paid plan.

21.1 Eligibility

Participation is open to any registered Stamply business account or verified customer account in good standing. Stamply.in reserves the right to exclude any account from the programme at its sole discretion.

21.2 How It Works

  • Each eligible user receives a unique referral link accessible from their Referrals page or tab.
  • The referral link is intended solely for inviting new businesses to register on Stamply.in. It cannot be used to refer existing Stamply users.
  • A reward is credited to the first referrer whose link was used at the time of the referred business's registration. Subsequent referral attempts for the same business are disregarded.

21.3 Rewards

  • Growth Plan upgrade: ₹1,000 (one thousand rupees) per referred business
  • Premium Plan upgrade: ₹5,000 (five thousand rupees) per referred business
  • Rewards are triggered only upon the referred business completing an upgrade to a qualifying paid plan. Signing up alone does not qualify.
  • Each referred business can generate a maximum of two rewards (one per qualifying plan tier, Growth and Premium).

21.4 Payout Process

  • Rewards are processed manually by Stamply.in. There is no guaranteed payout timeline; however, we aim to complete verified payouts within 30 days of the qualifying upgrade.
  • Stamply.in will contact the referrer via their registered email address (for business accounts) or registered phone number (for customer accounts) to collect payment details (bank transfer or UPI) before processing.
  • Stamply.in reserves the right to withhold or reverse a payout if fraud, abuse, or a violation of these terms is suspected or confirmed.
  • Stamply.in shall not be held liable for delays caused by incorrect payment information provided by the referrer.

21.5 Prohibited Conduct

  • Self-referral: Using your own referral link to create or refer a business you own or control is strictly prohibited and will result in disqualification.
  • Fraudulent accounts: Creating fake businesses or customer accounts to generate referral rewards is prohibited and may result in permanent account suspension and legal action.
  • Spam and misleading promotion: Mass, unsolicited, or deceptive distribution of referral links is prohibited.
  • Paid advertising: Using Stamply.in's brand name, trademarks, or referral programme in paid advertising campaigns (Google Ads, Meta Ads, etc.) requires prior written consent from Stamply.in.

21.6 Taxes

Referral rewards may constitute taxable income under applicable Indian tax law, including the Income Tax Act, 1961. You are solely responsible for reporting and paying all taxes, duties, or levies applicable to rewards you receive. Stamply.in will not deduct tax at source unless legally required to do so and reserves the right to do so if applicable thresholds are met.

21.7 Programme Changes and Termination

Stamply.in may modify, suspend, or terminate the Referral Programme, or change reward amounts, at any time. Changes will be reflected in these Terms with an updated "Last Updated" date. Rewards that have already been approved prior to programme termination will be honoured. Pending rewards (where the qualifying upgrade has not yet occurred) may be cancelled without compensation if the programme is discontinued.

20. Force Majeure

Stamply.in shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power outages, internet or telecommunications failures, or actions of third-party service providers (including our hosting and database providers). In such cases, we will notify you as soon as reasonably practicable and resume normal service as quickly as circumstances permit.
